1. Introduction & Acceptance of Terms

Welcome to dueam. These Terms of Service ("Terms") govern your use of our SaaS business management platform accessible at https://app.dueam.com (the "Platform") and our marketing site at https://dueam.com (the "Site"), collectively the "Services." By accessing or using our Platform and Site, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our Platform or Services.

Shash Tech Solutions ("we," "us," "our," or "Shash Tech Solutions") is a software company based in Sri Lanka.

2. Description of Services

dueam is a modular business management platform that provides tools for property management, restaurant management, tailor shop management, accounting & bookkeeping, agriculture management, and SMS notifications. Organizations subscribe to the modules they need and access them through the Platform.

3. User Responsibilities & Acceptable Use

You agree to use the Platform and Site only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Platform and Site. Prohibited behavior includes:

• Using the Platform or Site for any fraudulent or unlawful purpose.
• Transmitting any material that is defamatory, offensive, or otherwise objectionable.
• Attempting to gain unauthorized access to our systems or engaging in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of the Platform or Site.
• Knowingly transmitting any data, sending or uploading any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware, or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware.
• Reproducing, duplicating, copying, or re-selling any part of our Platform or Services in contravention of the provisions of these Terms.

Acceptable Use (Multi-Tenant)

As the Platform is multi-tenant, you agree not to attempt to access, view, or modify data belonging to other organizations. Any attempt to circumvent organization-scoped data isolation is a violation of these Terms and may result in immediate account suspension.

4. Subscription & Billing

Subscription Terms

Access to dueam modules is provided through subscription plans. By subscribing, you agree to pay the applicable fees for the modules and plans you select.

Auto-Renewal

Subscriptions auto-renew at the end of each billing cycle (monthly or annual) unless you cancel before the renewal date. You will be charged the then-current rate for your subscription upon renewal.

Billing Cycles

Billing cycles begin on the date you subscribe and renew on the same date each month or year, as applicable. If you upgrade or add modules mid-cycle, you will be charged a pro-rated amount for the remainder of the current billing cycle.

Payment Processing

Payments are processed through our third-party payment providers. We do not store your full payment card details on our servers.

5. Service Level

dueam is currently in active development and offered as a beta service. We strive to maintain high availability but do not provide any Service Level Agreement (SLA) guarantees at this time. We do not guarantee that the Platform will be uninterrupted, timely, secure, or error-free. We will make reasonable efforts to notify users of planned maintenance or significant downtime.

6. Data Ownership & Portability

Organizations own all data they create and store on the Platform. You have the right to export your organization's data at any time through the Platform's settings or by contacting us. We will not use your organization's data for any purpose other than providing the Services.

7. Account Suspension & Termination

We may suspend or terminate your account and access to the Platform if you violate these Terms. Upon suspension or termination:

• You will lose access to the Platform and your organization's data.
• You will have a 30-day window to export your organization's data by contacting us at info@dueam.com.
• After the 30-day window, we may permanently delete your organization's data.

You may terminate your account at any time by canceling your subscription and requesting account deletion through the Platform's settings or by contacting us.

8. Intellectual Property Rights

All content included on the Site and Platform, such as text, graphics, logos, images, as well as the compilation thereof, and any software used on the Site and Platform, is the property of Shash Tech Solutions or its suppliers and protected by copyright, trademark, and other intellectual property laws. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service, use of the Service, or access to the Service without express written permission from us.

The name "dueam" and our logo are trademarks belonging to us. You may not use these trademarks without our prior written consent.

9. Disclaimers of Warranties

The Platform and Site are provided on an "AS IS" and "AS AVAILABLE" basis. Shash Tech Solutions makes no representations or warranties of any kind, express or implied, as to the operation of the Platform or the information, content, materials, or products included on this Platform or Site. You expressly agree that your use of this Platform and Site is at your sole risk.

To the full extent permissible by applicable law, Shash Tech Solutions disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. Shash Tech Solutions does not warrant that this Platform, its servers, or email sent from Shash Tech Solutions are free of viruses or other harmful components.

10. Limitation of Liability

In no event shall Shash Tech Solutions (nor its employees, agents, suppliers, or affiliates) be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory.

Our maximum aggregate liability to you for any claims arising out of or relating to the Platform or Services shall be limited to the amount you paid to us for the Services in the 12 months preceding the claim, or if no payment was made, to a sum of LKR 10,000 (or equivalent in another currency).

11. Third-Party Links

Our Site may contain links to third-party web sites or services that are not owned or controlled by Shash Tech Solutions. Shash Tech Solutions has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.

12. Governing Law & Jurisdiction

These Terms shall be governed and construed in accordance with the laws of Sri Lanka, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Services shall be resolved exclusively in the courts located in Matara, Sri Lanka.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect by posting the updated terms on our Site. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Platform or Site after those revisions become effective, you agree to be bound by the revised terms.
